1. Agreement
By creating an account, signing in, or using the MAGNAXIS service (the "Service"), you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Your account
You must be at least 13 years old (US) or 16 (EEA) to create your own account. You're responsible for keeping your credentials secure. Enrol the owner TOTP second factor from Settings → Security — a leaked password without the second factor cannot reach the CEO command center or the Ads writers.
3. Acceptable use
You will not:
- Reverse-engineer, decompile or scrape the Service or attempt to bypass authentication, rate-limits or safety filters.
- Use the Service to generate malware, CSAM, non-consensual intimate imagery, medical or legal advice presented as professional, spam, phishing, or content that infringes a third party's rights.
- Attempt prompt injection or otherwise instruct Axis to ignore its safety layer.
- Use the Service for illegal activity, harassment, or in ways that overload the shared infrastructure (see rate limits on
/api/*). - Resell, sub-license or make the Service available to non-authorised users.
We may suspend or terminate accounts that violate this section without notice for material breaches.
4. Ownership + licensing
You own what you create. Anything you generate in the Studio, Music, Editor, Universe or Memory Book surfaces is yours. We keep an operational licence — worldwide, royalty-free, non-exclusive — to store, transmit and display it strictly to provide the Service to you.
We own the platform. The Axis intelligence layer, source code, models, workflows and brand are the property of MAGNAXIS and its licensors.
5. Payment, renewal, refunds
Paid plans renew monthly or annually as displayed at checkout. You can cancel from Settings → Plan; cancellation takes effect at the end of the current billing period. Refund requests within 14 days of a charge are honoured for unused capacity. Credit-based charges (LLM tokens, image / voice generation) are non-refundable once consumed.
6. Approvals + agent actions
Axis asks for your approval before spending money, sending messages on your behalf, or editing shared calendars. Approved actions are your responsibility. Axis keeps a 24-month audit log of every approval you can review at any time.
7. Warranty disclaimer
The Service is provided "as is" and "as available". We disclaim, to the maximum extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Axis can be wrong — verify anything that matters before acting on it.
8. Limitation of liability
To the maximum extent permitted by law, MAGNAXIS is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability for any claim arising out of these Terms is capped at the amount you paid to us in the 12 months preceding the claim (or USD 100 if you paid nothing).
9. Indemnification
You'll defend and indemnify MAGNAXIS against claims arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) content you post or generate that infringes a third party's rights, or (c) approvals you granted that caused damages.
10. DMCA / copyright
To report copyright infringement, email our designated agent at quikygram@gmail.com with the elements required by 17 U.S.C. §512(c)(3). Counter-notices to the same address.
11. Termination
Either party may terminate this agreement for material breach that isn't cured within 14 days of written notice. On termination we'll delete your data per Privacy. Sections 4, 7-9, 12 and 13 survive termination.
12. Governing law + venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws. Any dispute will be resolved in the state or federal courts of Delaware, and both parties consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief for IP violation in any court of competent jurisdiction.
13. Changes
If we materially change these Terms we'll email you 30 days before they take effect. Continued use after the effective date is acceptance.
